These Terms of Use govern access to and use of the Bill of Quantities (BOQ) System, including its website, mobile application, APIs, AI features, pricing tools, reports, and related services.

By creating an account or using the system, you agree to these Terms.

If you do not agree, you should not use the platform.

2. Purpose of the System

The BOQ System provides digital tools for managing construction and procurement information, including:

• Creation and management of BOQs
• Excel, CSV, image, and PDF processing
• System assisted BOQ extraction
• Construction pricing
• Hardware pricing
• Factory pricing
• Supplier information
• Price comparison
• Project management
• Cost estimation
• Quotations
• Reports and exports
• Subscription services

3. User Accounts

Users must provide accurate registration information and keep their account details current.

Users are responsible for:

• Protecting their password
• Maintaining account confidentiality
• Preventing unauthorised account access
• Immediately reporting suspected security breaches
• Ensuring activities performed through their account are authorised

Accounts may not be shared where the subscription or permission structure does not allow sharing.

4. BOQ Accuracy

The platform provides tools to assist with BOQ preparation and analysis.

Users remain responsible for verifying:

• Quantities
• Units
• Measurements
• Rates
• Prices
• Calculations
• Specifications
• Supplier information
• Tax treatment
• Project requirements
• Final contract values

The system should not replace professional quantity surveying, engineering, procurement, accounting, legal, or construction advice where such professional advice is required.

5. Pricing Information

Hardware, supplier, market, and factory prices displayed by the system may be obtained from uploaded information, suppliers, public sources, historical records, third-party services, or System assisted analysis.

Prices may change because of:

• Supplier adjustments
• Market conditions
• Exchange rates
• Location
• Transport costs
• Taxes
• Availability
• Quantity
• Negotiated discounts
• Inflation

Users should obtain current supplier quotations before making purchasing or contractual commitments.

6. System Generated Information

System generated suggestions, estimates, extracted information, classifications, and price recommendations may contain errors.

Users must review System generated outputs before using them in:

• Tender submissions
• Contracts
• Procurement
• Payments
• Project approvals
• Financial commitments
• Client quotations

The BOQ System does not guarantee that System generated information will always be complete, current, or error-free.

7. Uploaded Content

Users retain ownership of content they upload, subject to any rights belonging to third parties.

By uploading content, users grant the platform permission to process, store, analyse, convert, display, and transmit the content where necessary to provide the requested services.

Users must not upload content that:

• Infringes intellectual property rights
• Violates confidentiality obligations
• Contains unlawful material
• Contains malicious software
• Was obtained unlawfully
• They are not authorised to process

8. Exported BOQs and Reports

Generated BOQs, PDFs, Excel files, quotations, and reports may include the user's business information, including company name, logo, address, and contact information.

Users are responsible for reviewing exported documents before distributing them.

The platform is not responsible for misuse of documents after they have been downloaded, emailed, shared, printed, or otherwise distributed by a user.

9. Subscriptions and Payments

Some features may require a paid subscription.

Subscription terms may include:

• Free trial periods
• Monthly or annual plans
• Usage limits
• AI usage allocations
• Document processing limits
• Feature restrictions
• Additional paid top-ups

Applicable pricing will be displayed before purchase.

Unless otherwise stated, fees already paid may be non-refundable except where required by law or where a refund is expressly approved.

10. Trial Accounts

Where a free trial is offered, users may access eligible services during the stated trial period.

After the trial expires, some features may be restricted until a subscription is activated.

Creating multiple accounts to repeatedly obtain free trials may result in account restriction or suspension.

11. Acceptable Use

Users must not:

• Attempt unauthorised access
• Bypass security controls
• Interfere with platform operation
• Upload malware
• Abuse AI or API services
• Manipulate pricing records fraudulently
• Impersonate another person or organisation
• Use the system for unlawful activities
• Attempt to extract confidential data belonging to other users
• Circumvent subscription restrictions
• Reverse-engineer protected platform components except where permitted by law

12. Intellectual Property

The BOQ System, including its software, interface, design, branding, databases, documentation, and proprietary features, remains the property of its respective owner or licensors.

Users receive a limited, revocable, non-exclusive right to use the platform according to these Terms.

13. Availability

We aim to keep the platform available and reliable but cannot guarantee uninterrupted service.

Access may occasionally be affected by:

• Maintenance
• Hosting failures
• Internet outages
• Third-party service failures
• Security incidents
• Software updates
• Events beyond reasonable control

14. Suspension and Termination

Accounts may be suspended or terminated where there is:

• Fraud
• Serious misuse
• Security abuse
• Non-payment
• Repeated violation of these Terms
• Illegal activity
• Unauthorised system access

Where appropriate, reasonable notice may be provided.

15. Limitation of Liability

To the extent permitted by applicable law, the BOQ System and its operators will not be liable for indirect or consequential losses resulting from reliance on estimated prices, System generated information, inaccurate user data, supplier changes, project delays, procurement decisions, or third-party services.

Users remain responsible for professional verification before making material construction or financial decisions.

16. Indemnity

Users agree to be responsible for claims or losses arising from their unlawful use of the platform, violation of these Terms, infringement of third-party rights, or unauthorised use of information uploaded to the system.

17. Privacy

Use of personal information is governed by the platform's Privacy Policy, which forms part of these Terms.

18. Changes to the Terms

These Terms may be updated from time to time.

Material changes may be communicated through the platform or other appropriate channels.

Continued use after the effective date of updated Terms constitutes acceptance where permitted by applicable law.

19. Governing Law

These Terms shall be governed by the laws applicable in the jurisdiction in which the platform operator is established, unless mandatory law requires otherwise.
